Terms of Engagement

Effective Date: October 25, 2025

1. Scope of Services

Konquered Ventures LLC (“Consultant”) delivers systems-performance consulting, speaking, training, and advisory services. Konquered Technologies LLC (“Provider”) delivers software and platform solutions. Together they operate as the Konquered ecosystem.

2. Engagement Process

• Work is governed by a Statement of Work (SOW) or service order detailing scope, fees, and timeline.
• Engagement begins after signed SOW and initial deposit (or PO acceptance).
• Change requests require written mutual agreement.

3. Fees & Payments

• Invoices are payable net 15 days unless otherwise stated.
• Late payments may accrue interest at 1.5% per month.
• Travel & expenses billed at cost per Travel Policy.

4. Confidentiality & Data Use

All information shared during engagement is treated as confidential under the Mutual NDA and, where applicable, the BAA. Data handling is subject to the Konquered Privacy and Security Statements.

5. Deliverables & Ownership

• All pre-existing Konquered materials remain Konquered’s IP.
• Client-specific outputs are licensed for internal use only unless stated otherwise in writing.

6. Limitation of Liability

Konquered’s aggregate liability shall not exceed the fees paid for the specific SOW during the preceding 12 months. Konquered is not liable for indirect, special, or consequential damages.

7. Termination

• Either party may terminate for breach with 10-day written notice if uncured.
• Upon termination, Client pays for work performed to date plus non-cancelable commitments.

8. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Commonwealth of Pennsylvania. Parties agree to attempt mediation prior to litigation.

9. Acceptance

By initiating services or signing an SOW, Client acknowledges acceptance of these Terms of Engagement.
